Unless the parties agree otherwise, any mediation and/or arbitration shall take place in the State of California, Los Angeles, and shall be administered by, and pursuant to the rules of, the American Arbitration Association.  Disputes shall be arbitrated on an individual basis.

If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect.
